Current Report No. 22/2025 – ESPI – Execution of a General Contracting Agreement with Nomad Electric sp. z o.o. and Esix sp. z o.o.

The Management Board of R.Power S.A., with its registered office in Warsaw (the “Issuer”), informs that on October 24, 2025, a subsidiary of the Issuer (the “Subsidiary”) entered into an agreement with a consortium of contractors consisting of Nomad Electric sp. z o.o., based in Warsaw, and Esix sp. z o.o., based in Wrocław (the “Contractors”), for the general execution of an investment project (the “Agreement”).

The subject of the Agreement is the comprehensive execution of Balance of Plant (BoP) works and the commissioning of an energy storage system (BESS) with a target capacity of 150 MW/300 MWh, together with the necessary accompanying infrastructure, as well as the construction of a main substation (GPO) 110 kV and a high-voltage line for the energy storage facility.
The scope of work includes, in particular, the preparation of detailed design documentation, the supply of materials and equipment (excluding the energy storage system), the execution of construction and assembly works, start-up and functional testing of the installation, and the handover of the completed facility for operation.

The Agreement provides for a lump-sum remuneration, the total value of which does not exceed 10% of the Issuer’s equity.
