Current Report – ESPI 27/2025 – Conclusion of Final Agreements for the Sale of Shares in Companies Holding Rights to Renewable Energy Projects

In reference to Current Report ESPI 23/2025, the Management Board of R.Power S.A. (the “Issuer”) hereby informs that on 11 December 2025 a subsidiary of the Issuer (the “Subsidiary”), acting in performance of preliminary share sale agreements, concluded six final share sale agreements for minority share packages (representing 49.9% of the share capital) in companies holding rights to renewable energy projects, including photovoltaic power plants with a total capacity of 48 MWp and battery energy storage systems with a capacity of 43 MW.

The sale price of the shares does not exceed 10% of the Issuer’s equity.

The sale of shares in a seventh company (a project comprising an 8 MWp photovoltaic power plant and an 8 MW battery energy storage system) will be completed upon fulfilment of additional conditions specified in the relevant preliminary agreement.

This transaction is consistent with the Issuer’s Capital Group strategy.
