Current report – ESPI 18/2025 – Transfer of shares in companies holding rights to renewable energy projects

The Management Board of R.Power S.A. (the “Issuer”) hereby informs that following the current report of May 22, 2025 No. 9/2025, today (29.08.2025) a minority stake (constituting 49.9% of the share capital) in companies holding rights to renewable energy projects (“Subsidiaries”), including photovoltaic power plants with a total capacity of up to 91.8 MWp (“PV Projects”),  in execution of the conditional share sale agreements of 22 May 2025.

The purpose of the transaction is to finance the construction of the PV Projects by the Subsidiaries, after obtaining the necessary permits. The expected completion date for the construction of the PV Projects is 2027. As part of the transaction, the shareholders of the Subsidiaries also plan to develop battery energy storage systems and wind farms as complementary projects to the PV Projects.

The sale price of the shares that was paid in connection with the transaction does not exceed 10% of the Issuer’s equity and was determined on market terms.

This transaction implements the strategy of the Issuer’s Capital Group, which assumes a variety of methods of financing the development of renewable energy projects in Poland.
