Current Report 31/2025 – ESPI – Execution of a Loan Agreement Financed from KPO Funds

The Management Board of R.Power S.A. (the “Issuer”) hereby informs that on 22 December 2025 a special purpose vehicle from the R.Power Group (the “Subsidiary”) entered into a loan agreement (the “Loan Agreement”) with Bank Gospodarstwa Krajowego (the “Lender”), financed from the National Recovery and Resilience Plan (Krajowy Plan Odbudowy i Zwiększania Odporności – “KPO”).

The loan, in an amount of up to PLN 206.7 million, may be used exclusively to cover eligible costs related to the implementation of the project entitled “Construction of the Żary-Marciszów photovoltaic power plant with a capacity of 127 MWp” (the “Project”).

The loan was granted under KPO Investment G3.1.4 “Support for the national energy system (Energy Support Fund)”.

The financing will be disbursed upon the fulfilment of conditions precedent specified in the Loan Agreement. The loan bears a fixed interest rate on preferential terms and constitutes state aid.
