Current Report 29/2025 – ESPI – Execution of a 15-year Virtual PPA by Companies from the R.Power S.A. Group

The Management Board of R.Power S.A., with its registered office in Warsaw (the “Issuer”), hereby informs that on 16 December 2025 an Electricity Price Financial Settlement Agreement (Virtual Power Purchase Agreement, hereinafter the “Agreement”) was executed between companies belonging to the Issuer’s Capital Group (the “Subsidiaries”) and Cisco Systems Inc. (the “Buyer”).

The subject of the Agreement is the financial settlement of the electricity price and the sale of guarantees of origin for such electricity by the Subsidiaries to the Buyer for a period of 15 years. The estimated volume of electricity to be settled during the term of the Agreement amounts to up to approximately 486 GWh.

The total value of the Agreement over its entire term may exceed 10% of the Issuer’s equity.
