The Management Board of R.Power S.A. with its registered office in Warsaw (the \u201eIssuer\u201d, the \u201eCompany\u201d), with reference to ESPI current reports 31\/2026 and 32\/2026, informs that, within the framework of the established Bond Issuance Program, on 13 October 2026 the Company issued 500 bonds series 2\/2026 with a nominal value of EUR 100,000 each, and a total nominal value of EUR 50,000,000 (the \u201eBonds\u201d).<\/p>\n
The Bonds were subscribed by a qualified investor. The Bonds were offered in accordance with Article 33 point 2 of the Act of January 15, 2015, on Bonds, and Article 1(4)(a) of Regulation (EU) 2017\/1129 of the European Parliament and of the Council of June 14, 2017, on the prospectus to be published when securities are offered to the public or admitted to trading on a regulated market, repealing Directive 2003\/71\/EC, without the requirement for the Company to publish a prospectus or an information memorandum.<\/p>\n
The Bonds were issued in DvP (Delivery versus Payment) mode without the participation of an issuance agent. The Bonds will be introduced to the alternative trading system on Catalyst upon registration of the Bonds by the National Depository for Securities S.A.<\/p>\n
