The Management Board of R.Power S.A. with its registered office in Warsaw<\/span> (the \u201cIssuer\u201d) hereby announces that on 25 September 2026 the Issuer entered into a final share sale agreement regarding shares representing 87.35% of the share capital of each of two subsidiaries of the Issuer providing services to the renewable energy sector and electricity system operators (the \u201cAgreement\u201d).<\/span><\/p>\n

The Agreement was entered into pursuant to the preliminary share sale agreement disclosed by the Issuer in ESPI current report No. 28\/2026.<\/span><\/p>\n

Title to the shares was transferred upon execution of the Agreement. The sale price for the shares was determined on market terms. The aggregate sale price does not exceed 10% of the Issuer\u2019s equity. The other provisions of the Agreement, including those relating to the parties\u2019 representations and warranties, do not deviate from terms customary for agreements of this type.<\/span><\/p>\n

The transaction constitutes the implementation of the strategy of the Issuer\u2019s Capital Group.<\/span><\/p>\n
