{"id":16342,"date":"2026-09-17T15:35:56","date_gmt":"2026-09-17T15:35:56","guid":{"rendered":"https:\/\/rpower.energy\/?p=16342"},"modified":"2026-09-17T15:35:56","modified_gmt":"2026-09-17T15:35:56","slug":"espi-current-report-28-2026-execution-of-a-share-sale-agreement","status":"publish","type":"post","link":"https:\/\/rpower.energy\/en\/espi-current-report-28-2026-execution-of-a-share-sale-agreement\/","title":{"rendered":"ESPI \u2013 Current Report 28\/2026 \u2013 Execution of a Share Sale Agreement"},"content":{"rendered":"<p class=\"isselectedend\"><span lang=\"EN-GB\">The Management Board of R.Power S.A. with its registered office in <span class=\"text-token-text-primary\">Warsaw<\/span> (the \u201cIssuer\u201d) hereby announces that on 17 September 2026 the Issuer entered into a preliminary share sale agreement concerning shares representing 87.35% of the share capital of each of two subsidiaries of the Issuer providing services to the renewable energy sector and electricity system operators (the \u201cCompanies\u201d, the \u201cAgreement\u201d).<\/span><\/p>\n<p class=\"isselectedend\"><span lang=\"EN-GB\">The Agreement was entered into subject to a condition precedent consisting in obtaining the required corporate approvals (the \u201cCondition\u201d), which should be satisfied no later than by 30 October 2026. The transfer of title to the shares will take place upon satisfaction of the Condition. Following the transfer of title to the shares to the buyer, the Issuer will no longer hold any shares in the Companies.<\/span><\/p>\n<p class=\"isselectedend\"><span lang=\"EN-GB\">The sale price for the shares was determined on market terms. The aggregate sale price will not exceed 10% of the Issuer\u2019s equity.
