The Management Board of R.Power S.A., with its registered office in Warsaw (the \u201cIssuer\u201d), hereby announces that on 26 May 2026, the Issuer signed the terms of issue for the Series 1\/2026 bonds (the \u201cBonds\u201d), which will be issued under the bond issuance program established by the Issuer with a total nominal value of up to PLN 1,000,000,000 (the \u201cProgram\u201d).<\/p>\n
The total nominal value of the Bonds will amount to PLN 100,000,000. The Bonds will bear interest at the 6-month WIBOR base rate plus a margin of 3.40 %.<\/p>\n
The Bonds will be bearer bonds registered in the securities depository maintained by the Central Securities Depository of Poland (Krajowy Depozyt Papier\u00f3w Warto\u015bciowych S.A.) and will be issued pursuant to Article 33(1) of the Bond Act, without the need for approval or publication of a prospectus or information memorandum. The Bonds will be issued as secured bonds.<\/p>\n
The purpose of the Bond issuance is to finance or refinance the development, acquisition, construction, and operation of Green Projects by entities from the Issuer\u2019s Capital Group in accordance with the Green Bond Framework.<\/p>\n
The issue date of the Bonds is 16 June 2026 or a date close to that day. The Bonds will be settled on the Issue Date by the National Depository for Securities S.A. under the Delivery vs Payment (DvP) formula and will be introduced to trading in the alternative trading system operated by the Warsaw Stock Exchange.<\/p>\n
