The Management Board of R.Power S.A. (the \u201cIssuer\u201d) hereby informs that on 15 May 2026 an associate company of the R.Power Group (the \u201cBorrower\u201d), in which the R.Power Group holds 50.1% of shares, entered into a loan agreement (the \u201cLoan Agreement\u201d) with Bank Gospodarstwa Krajowego (the \u201cLender\u201d), financed from the National Recovery and Resilience Plan (Krajowy Plan Odbudowy i Zwi\u0119kszania Odporno\u015bci, \u201cKPO\u201d).<\/p>\n

The loan, in an amount of up to PLN 243,8 million, may be used exclusively to cover eligible costs related to the implementation of the project entitled \u201cConstruction of the \u017bydowo-Kierzkowo photovoltaic power plant with a capacity of 162 MWp\u201d (the \u201cProject\u201d).<\/p>\n

The loan was granted under KPO Investment G3.1.4 \u201cSupport for the national energy system (Energy Support Fund)\u201d.<\/p>\n

The financing will be disbursed upon the fulfilment of conditions precedent specified in the Loan Agreement. The loan bears a fixed interest rate on preferential terms and constitutes state aid.<\/p>\n
