The Management Board of R.Power S.A. (the \u201cIssuer\u201d), hereby announces that on 16 January 2026 a German special purpose vehicle from the R.Power Group (the \u201cBorrower\u201d) entered into a project finance loan agreement with Deutsche Leasing Finance GmbH (the \u201cLender\u201d) for a total amount of approximately EUR 6.0 million (the \u201cFinancing\u201d).<\/p>\n
Under the Financing, the Borrower has been granted long-term investment financing intended for the construction of the Klotze photovoltaic power plant with a total capacity of approximately 20 MWp, located in the federal state of Saxony-Anhalt, Germany. The 20 MWp installation benefits from 20-year support awarded under the EEG auction system (the German Renewable Energy Sources Act), as reported by the Issuer in current report No. 8\/2025 dated 25 April 2025. In addition, the Borrower has obtained ancillary financing facilities, including financing for VAT on investment expenditures and a guarantee facility, inter alia, to secure obligations related to decommissioning and site restoration.<\/p>\n
The Financing will be disbursed upon the fulfilment of conditions precedent, in particular those related to the submission of relevant project documentation and the establishment of standard security interests customary for this type of financing in favor of the Lender.<\/p>\n
The Financing bears interest on market terms. Furthermore, the financing agreement imposes standard obligations regarding compliance with financial covenants and information undertakings, as well as provisions related to early repayment triggers.<\/p>\n","protected":false},"excerpt":{"rendered":"
