The Management Board of R.Power S.A., with its registered office in Warsaw (the \u201cIssuer\u201d), hereby informs that on 3 February 2026 a Storage Services Agreement (with the use of a battery energy storage system (\u201cBESS\u201d) facility with a nominal power of 127 MW and capacity of approximately 254 MWh) (the \u201cAgreement\u201d) was executed, between a Romanian company belonging to the Issuer\u2019s Capital Group (the \u201cSubsidiary\u201d), in which the Issuer holds a majority stake, and GEN-I, Bucharest \u2013 electricity trading and sale, s.r.l. (\u201cGEN-I\u201d).<\/p>\n
The execution of the Agreement constitutes a further step in the implementation of the battery energy storage project referred to, inter alia, in Current Report No. 21\/2025 regarding the sale of a minority stake in the Subsidiary.<\/p>\n
The subject of the Agreement is the provision of electricity storage services by the Subsidiary to GEN-I. The Agreement has been entered into for a period starting on the date of the start of commercial operation of the battery energy storage system, lasting until the fifth anniversary of the battery energy storage system starting to provide balancing (ancillary) services.<\/p>\n
GEN-I shall be responsible for optimizing the operation of the BESS facility, and the remuneration for the electricity storage service will be based on sharing the profits generated by the BESS facility, with GEN-I guaranteeing a minimum level of revenue for the Subsidiary.<\/p>\n
The total value of the Agreement over its entire term may exceed 10% of the Issuer\u2019s equity.<\/p>\n
