(the \u201cIssuer\u201d) hereby informs that on 22 December 2025 a special purpose vehicle from the R.Power Group (the \u201cSubsidiary\u201d) entered into a loan agreement (the \u201cLoan Agreement\u201d) with Bank Gospodarstwa Krajowego (the \u201cLender\u201d), financed from the National Recovery and Resilience Plan (Krajowy Plan Odbudowy i Zwi\u0119kszania Odporno\u015bci \u2013 \u201cKPO\u201d).<\/p>\n<p>The loan, in an amount of up to PLN 206.7 million, may be used exclusively to cover eligible costs related to the implementation of the project entitled \u201cConstruction of the \u017bary-Marcisz\u00f3w photovoltaic power plant with a capacity of 127 MWp\u201d (the \u201cProject\u201d).<\/p>\n<p>The loan was granted under KPO Investment G3.1.4 \u201cSupport for the national energy system (Energy Support Fund)\u201d.<\/p>\n<p>The financing will be disbursed upon the fulfilment of conditions precedent specified in the Loan Agreement.
