The Management Board of R.Power S.A. (the \u201cCompany\u201d) hereby informs that on 10 December 2025 an Extraordinary General Meeting of Shareholders of the Company was held, which adopted, among others, a resolution to increase the Company\u2019s share capital by PLN 0.05 (five hundredths), i.e. from PLN 8,682,235.90 to PLN 8,682,235.95, through the issuance of 1 (one) registered ordinary Series B share with a nominal value of PLN 0.05 (the \u201cNew Issue Share\u201d). The issue price of the New Issue Share amounts to EUR 25,000,000.00 (twenty-five million euros).<\/p>\n
The New Issue Share will be subscribed for through a private subscription within the meaning of Article 431 \u00a7 2 item 1 of the Polish Commercial Companies Code, and the offer to subscribe for the share has been addressed to the Company\u2019s existing shareholder \u2013 3S Ra Holdings S.\u00e0 r.l. (the \u201cInvestor\u201d), owned by the European Bank for Reconstruction and Development (EBRD) and the special purpose vehicle of the Three Seas Initiative Investment Fund (3SIIF), with the pre-emptive rights of the remaining shareholders excluded. The surplus over the nominal value of the share will be transferred to the supplementary capital. The subscription for the New Issue Share is expected to be completed by 18 December 2025.<\/p>\n
The above transaction constitutes the final step in the performance of the Investor\u2019s obligations regarding further capitalisation of the Company, as previously disclosed in ESPI reports No. 2\/2023, 19\/2023, 20\/2024, 39\/2024 and 19\/2025. In total, the Investor has invested EUR 250 million in the form of increases of the Company\u2019s share capital.<\/p>\n
