(the \u201cIssuer\u201d) hereby informs that on 11 December 2025 a subsidiary of the Issuer (the \u201cSubsidiary\u201d), acting in performance of preliminary share sale agreements, concluded six final share sale agreements for minority share packages (representing 49.9% of the share capital) in companies holding rights to renewable energy projects, including photovoltaic power plants with a total capacity of 48 MWp and battery energy storage systems with a capacity of 43 MW.<\/p>\n<p>The sale price of the shares does not exceed 10% of the Issuer\u2019s equity.<\/p>\n<p>The sale of shares in a seventh company (a project comprising an 8 MWp photovoltaic power plant and an 8 MW battery energy storage system) will be completed upon fulfilment of additional conditions specified in the relevant preliminary agreement.<\/p>\n<p>This transaction is consistent with the Issuer\u2019s Capital Group strategy.<\/p>\n<p>Legal basis: Article 17(1) of the MAR \u2013 inside information.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>In reference to Current Report ESPI 23\/2025, the Management Board of R.Power S.A.
