The Management Board of R.Power S.A. (the \u201cIssuer\u201d) informs that on the date hereof (7 November 2025), a subsidiary of the Issuer (the \u201cSubsidiary\u201d) entered into seven conditional agreements for the sale of minority shareholdings (representing 49.9% of the share capital) in companies holding rights to renewable energy projects, including photovoltaic power plants with a total capacity of 56 MWp and battery energy storage systems with a capacity of 51 MW.<\/p>\n
The effectiveness of the above sale agreements is subject to the fulfilment of the conditions precedent, including, among others, obtaining a decision of the President of the Office of Competition and Consumer Protection regarding the concentration.<\/p>\n
This transaction implements the strategy of the Issuer\u2019s Capital Group. The sale price of the shares, which will be paid after fulfillment of the condition described above, does not exceed 10% of the Issuer\u2019s equity and was determined on market terms.<\/p>\n
