The Management Board of R.Power S.A., with its registered office in Warsaw (the \u201cIssuer\u201d), hereby announces that on 15 July 2025, an agreement for the construction of the high voltage substation (the \u201cAgreement\u201d) was concluded between a Romanian company belonging to the Issuer\u2019s Capital Group (the \u201cSubsidiary\u201d) and Electrogrup SA, with its registered office in Cluj-Napoca, Romania (the \u201cContractor\u201d). The Agreement relates to the project of an energy storage facility located in Romania, in respect of which the Issuer had previously reported the signing of a grant agreement (Current Report No. 40\/2024) and the conclusion of a conditional share purchase agreement concerning the Subsidiary (Current Report No. 12\/2025).<\/p>\n
The main subject of the Agreement is the design, delivery, assembly, installation, and commissioning of a primary high-voltage substation (EHV\/MV) for the energy storage facility, together with auxiliary services, which forms part of the project\u2019s connection to the high-voltage grid.<\/p>\n
The signing of this Agreement constitutes the first execution contract within the implementation of the aforementioned project and marks the transition of the investment into the construction phase.<\/p>\n
The total value of the Agreement does not exceed 10% of the Issuer\u2019s equity.<\/p>\n
